1. Acceptance of Terms

By accessing or using the Riva website, mobile application, or agent dashboard ("Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Services.

2. Description of Services

Riva provides a real estate technology platform that includes a social property discovery experience for homebuyers and sellers, a buyer and seller journey guide, in-app messaging between users and agents, and an agent-facing dashboard for real estate professionals. The agent dashboard includes AI-assisted tools for contract parsing and document analysis, workflow automation, and photo and video enhancement services for property listings.

3. Account Registration

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration. Agent accounts are subject to license verification before access is granted.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Upload false, misleading, or fraudulent property information
• Interfere with or disrupt the operation of the Services
• Attempt to gain unauthorized access to any part of the platform
• Scrape, harvest, or collect data from the Services without authorization
• Impersonate any person, entity, or real estate professional
• Submit a false real estate license number or misrepresent your agent status

5. Property Listings & Transactions

Riva facilitates property discovery but is not a party to any real estate transaction. All property information is provided for informational purposes only. Users are responsible for verifying the accuracy of listings, conducting due diligence, and engaging licensed professionals for legal, financial, and inspection services. Riva does not guarantee the accuracy, completeness, or availability of any listing.

6. Agent Subscriptions

Real estate agents and brokers may access premium features through a paid subscription. By subscribing, you agree to the applicable pricing, billing cycle, and any plan-specific terms presented at the time of purchase. Subscriptions are billed on a recurring basis until cancelled. You may cancel at any time; cancellations take effect at the end of the current billing period. We reserve the right to modify subscription pricing with reasonable advance notice. All payments are non-refundable except where required by law.

7. AI-Powered Features

Our platform uses artificial intelligence across several features, including property feed personalization, contract parsing and document analysis, workflow automation, and listing photo and video enhancement.

AI-generated outputs — including contract summaries, extracted deadlines, and document analysis — are provided as assistive tools only and do not constitute legal advice. Users should independently verify all AI-extracted information and consult a licensed attorney before relying on it for any legal or transactional decision.

Automated workflows are provided as a convenience. Riva is not liable for missed deadlines, failed triggers, or any consequences arising from reliance on automated features.

For AI photo and video services: by submitting media for enhancement, you represent that you have all necessary rights to the original content. You acknowledge that AI-enhanced outputs are processed representations and agree not to use enhanced media in any manner that is false, misleading, or misrepresents the actual condition of a property. Riva is not liable for claims arising from how enhanced media is used or perceived by third parties.

8. Intellectual Property

All content, features, and functionality of the Services — including text, graphics, logos, software, and design — are owned by Riva and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

9. User Content

You retain ownership of content you upload to the platform, including profile photos and messages. By uploading content, you grant Riva a non-exclusive, worldwide license to use, store, and process that content as necessary to provide the Services. You represent that you have the rights to any content you upload and that it does not violate any third-party rights.

10. Apple App Store

If you access Riva through the Apple App Store, your use is also subject to Apple's Terms of Service. In the event of any conflict between these Terms and Apple's terms, Apple's terms will govern solely with respect to your use of the App Store. Apple is not responsible for the Services or any claims relating to them.

11. Limitation of Liability

To the fullest extent permitted by law, Riva shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including but not limited to loss of data, profits, or business opportunities.

12. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Services will be uninterrupted, error-free, or secure.

13. Termination

We reserve the right to suspend or terminate your access to the Services at our discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or the platform.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.

15. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify users in advance.
